ENGIE SA (ENGIY) Stock Price & How to Invest

Last updated October 2026

Short answer

ENGIY is the US over-the-counter ADR of Engie SA, the French utility that runs gas networks, renewables, gas power plants and energy supply across Europe and Latin America. Each ADR equals one Paris-listed share and traded near ~$26 in late October 2026. It is an income-oriented, debt-heavy utility story: a ~5% to 6% dividend yield, a big new UK grid, and a nuclear exit still being negotiated.

What does ENGIE SA (ENGIY) do?

Engie SA is one of Europe's largest energy companies, created from the merger of Gaz de France and Suez and still about one quarter owned by the French state. It reports four main businesses. Renewable & Flex Power owns ~59.5 GW of wind, solar, hydro and battery capacity plus gas-fired plants that balance the grid. Infrastructures holds the French gas distribution and transmission networks (GRDF and GRTgaz), power transmission lines in Brazil, Chile and Peru, district heating, EV charging and, since May 2026, UK Power Networks, the electricity distributor serving London and the south east of England. Supply & Energy Management sells gas and power to households and businesses and trades energy. A shrinking Nuclear segment covers its remaining Belgian reactors. ENGIY is a sponsored Level 1 ADR traded over the counter; one ADR represents one ordinary share listed on Euronext Paris under ENGI.

For 2025, Engie reported revenue of ~€71.9bn, EBIT excluding nuclear of ~€8.8bn and net recurring income (Group share) of ~€4.9bn, paying a €1.35 dividend. In the first half of 2026 revenue slipped to ~€36.7bn as supply prices normalised, but EBIT excluding nuclear rose ~3% to ~€5.3bn, helped by ~€180m from UK Power Networks after only two months of ownership. Net income Group share rose to ~€3.3bn. Management lifted 2026 guidance for net recurring income to €4.9bn to €5.5bn and EBIT excluding nuclear to €9.2bn to €10.2bn. The cost was the balance sheet: the ~£15.8bn UK deal pushed economic net debt to ~€60.3bn, or ~4.2x EBITDA.

The investment picture is a utility in transition. Engie is shifting from merchant gas generation and nuclear toward regulated networks and contracted renewables, which should make earnings steadier over time. Yet the shares fell from ~€28 in late July to ~€23 by late October 2026, a ~17% slide tied to rising interest rates, Middle East tension and lower power prices. At ~$26 the ADR trades on ~11x the midpoint of 2026 earnings guidance with a trailing dividend yield of ~5.8% before French withholding tax. Third-quarter figures are due around November 5, 2026, and a Belgian nuclear term sheet is targeted for November 4.

What's driving ENGIE SA (ENGIY)?

1. UK Power Networks and the regulated base

The ~£10.5bn equity (~£15.8bn enterprise value) purchase of UK Power Networks, closed on May 7, 2026, nearly two months early, is the largest change to Engie in a decade. It adds a regulated asset value of ~€11.4bn on top of ~€31.5bn of French gas network assets, so a growing share of profit now comes from returns set by regulators rather than commodity prices. UKPN contributed ~€180m of EBIT in roughly two months, implying ~€1bn a year on a full-year basis. Management targets economic net debt of no more than ~4.0x EBITDA once a full year of UKPN is included, which depends on that steady income arriving as planned and on ~€4bn of asset sales by 2028.

2. Renewables, batteries and long-term contracts

Engie ended June 2026 with ~59.5 GW of renewable and storage capacity, up ~2.4 GW in six months, with ~6.4 GW under construction and a development pipeline of ~122 GW. It passed ~10 GW of battery storage worldwide in September. Power purchase agreements signed in the first half reached ~2.4 GW, double a year earlier, and long contracts with corporate buyers lock in prices for 10 to 20 years. Renewables & BESS EBIT grew ~3% to ~€1.34bn even as captured prices fell, with the Compagnie Nationale du Rhone's achieved price dropping from ~€110 to ~€74 per MWh. Volume growth is offsetting lower prices, but only partly.

3. Data centers and electrification demand

Engie has made technology and data center customers a distinct growth line. Its pipeline of data center projects reached ~7 GW of load by June 2026, up ~1 GW in six months, with ~4 GW at an advanced stage versus ~0.8 GW at the end of 2025. It has ~7 GW of PPAs with technology and data center companies, including an extended 24/7 carbon-free supply deal with Google in Germany, and says it has secured ~47% of its goal of supplying ~50 TWh a year to the segment by 2030. Power transmission is a second electrification lever: new Peruvian and Brazilian concessions move Engie toward ~10,000 km of lines by 2030, from ~5,900 km today.

4. The Belgian nuclear exit and earnings mix

Nuclear EBIT fell ~76% to ~€121m in the first half of 2026 as older Belgian reactors closed and Tihange 3 and Doel 4 moved into a joint venture with the Belgian State. In April 2026 Engie and Belgium signed a letter of intent for the State to take over all of Engie's and Electrabel's nuclear activities, including decommissioning liabilities. The target for heads of terms slipped from October 1 to November 4, 2026. Both sides say the deal should leave Engie's finances neither better nor worse, but completing it would remove a source of volatile earnings and long-dated liabilities, which is why investors watch the timetable closely.

What are the risks to ENGIE SA (ENGIY)?

Leverage is the most visible risk. Economic net debt of ~€60.3bn and ~4.2x EBITDA leave less room for error, and the ~4.0x target relies on asset sales and full-year UKPN income. Higher bond yields lift Engie's financing costs (recurring net financial costs were guided at ~€2.3bn to €2.5bn) and make its dividend less attractive relative to bonds, which is part of why the shares fell in late 2026. European power and gas prices are falling from crisis highs: captured spreads at European gas plants dropped ~44% year on year in the first half, and B2B supply EBIT fell ~39% as old high-margin contracts rolled off. Politics matter too, since the French state owns about a quarter of the company and Paris, Brussels and other governments set tariffs, windfall taxes and network returns. The UK regulator Ofgem resets distribution returns in its next price control. The Belgian nuclear talks could still fail or change terms. Weather, hydro levels and Middle East gas supply move results. For US holders, the euro to dollar rate affects the ADR price and dividend, French withholding tax applies to dividends, and OTC liquidity is thinner than in Paris.

Is ENGIY a buy or a sell?

We give no verdict on ENGIE SA. Both cases are real, which is why the question is contested at all, so here is the strongest version of each.

The case for buying. UK Power Networks and the regulated base. The ~£10.5bn equity (~£15.8bn enterprise value) purchase of UK Power Networks, closed on May 7, 2026, nearly two months early, is the largest change to Engie in a decade.

The case against. Leverage is the most visible risk.

How is ENGIE SA (ENGIY) valued? (approximate, October 2026)

A simple financial snapshot. These are approximations and refresh quarterly; for current figures see ENGIE SA's investor relations page or your broker.

  • ADR price (ENGIY): ~$26.05 (1 ADR = 1 share)
  • Market cap: ~$66bn (~€59bn)
  • Revenue (TTM): ~$79bn (~€70.5bn)
  • Net recurring income (TTM): ~$5.4bn (~€4.8bn)
  • P/E (2026 guidance midpoint): ~11x
  • Dividend yield (2025 €1.35): ~5.8%

Figures convert euros at ~$1.12 and use ~2.54bn shares after the 2026 equity raise. Engie trades on ~11x the midpoint of its raised 2026 net recurring income guidance (€4.9bn to €5.5bn), below many European peers, which reflects its higher debt, commodity exposure and state ownership. The dividend policy targets a payout of ~65% to 75% of net recurring income. Analyst targets gathered in September 2026 clustered around ~€30, above the ~€23.3 Paris price. Enterprise value including ~€60bn of economic net debt is roughly twice the equity value.

Who competes with ENGIE SA (ENGIY)?

European integrated utilities

Iberdrola (IBDRY), Enel (ENLAY), EDF (state owned) and E.ON compete with Engie for customers, renewable auctions and network assets. Iberdrola and Enel usually trade at higher multiples thanks to larger regulated grids, which is part of the gap Engie hopes to close by adding UK Power Networks and more transmission.

Regulated network owners

National Grid (NGG), SSE and Spanish and Italian grid companies are the closest comparisons for Engie's networks. They earn returns set by regulators on their asset base, offering steadier but slower growth. Engie now competes with them for capital, engineers and regulatory goodwill in the UK.

Renewables developers and energy majors

Orsted, RWE, EDP Renovaveis and TotalEnergies bid for the same offshore wind leases, corporate PPAs and battery projects, including data center supply deals. Ocean Winds, Engie's 50% offshore wind venture with EDP Renovaveis, is both partner and rival in that market, and these companies face the same pressure from falling captured power prices.

FAQ

What is ENGIY and how does the ADR work?

+

ENGIY is an American Depositary Receipt for Engie SA, a French utility whose main listing is ENGI on Euronext Paris. It trades over the counter in the US rather than on the NYSE or Nasdaq. One ENGIY ADR represents one ordinary Engie share, so the ADR price is essentially the Paris price converted into dollars: ~€23.31 times a euro worth ~$1.12 gives the ~$26.05 seen in late October 2026. That means the ADR moves with both the stock and the euro to dollar exchange rate. OTC trading volume is lower than in Paris, so bid and ask spreads can be wider, and some brokers handle OTC ADRs differently from listed stocks. The ADR depositary also deducts a small per-share fee, typically from dividends.

How does Engie make money?

+

Engie earns money from four activities. Infrastructures was its largest EBIT contributor in the first half of 2026 at ~€2.2bn, from French gas networks, power transmission in Latin America, district heating and now UK Power Networks; most of that income is set by regulators. Renewable & Flex Power contributed ~€1.8bn from wind, solar, hydro, batteries and gas plants, selling power in markets or under long contracts. Supply & Energy Management contributed ~€1.5bn from selling gas and electricity to households and businesses and from trading. Nuclear added only ~€121m as Belgian reactors close or move into a joint venture. Group EBIT excluding nuclear was ~€5.3bn in the half, and 2026 guidance is €9.2bn to €10.2bn.

What did Engie report in its latest results?

+

On July 31, 2026, Engie reported first-half revenue of ~€36.7bn, down ~3.6%, as energy supply prices eased. EBIT excluding nuclear rose ~3.3% to ~€5.3bn, net recurring income Group share was ~€3.0bn and net income Group share rose ~14% to ~€3.3bn, helped by mark-to-market gains on commodity contracts. Cash flow from operations fell to ~€6.9bn from ~€8.4bn, mainly because nuclear earnings shrank. Capital spending reached ~€22.9bn, of which ~€19.0bn was UK Power Networks. Management raised 2026 net recurring income guidance to €4.9bn to €5.5bn from €4.6bn to €5.2bn. Third-quarter figures are scheduled for around November 5, 2026, and are expected to include an update on UK Power Networks and the Belgian nuclear talks.

What does Engie pay in dividends, and how are they taxed for US holders?

+

Engie paid €1.35 per share in May 2026 for the 2025 financial year, down from €1.48 a year earlier, representing a ~67% payout of net recurring income. Its policy targets a payout of ~65% to 75%. At the late October 2026 price of ~€23.3, that is a trailing yield of ~5.8%. Engie pays once a year, so ADR holders receive one dollar payment, converted at the prevailing exchange rate and reduced by depositary fees. France withholds tax on dividends paid to foreign holders; US investors can often reclaim part of it under the US-France tax treaty or claim a foreign tax credit, but the process varies by broker and personal situation. A 10% loyalty bonus applies only to registered Paris shares held for two years, not to ADRs.

Why did ENGIY fall in late 2026?

+

The Paris shares fell from ~€28 in late July 2026 to ~€23 by late October, roughly a 17% decline, and the ADR followed. No single company announcement explains it. Contributing factors cited in market coverage include rising bond yields, which make high-dividend utilities less attractive relative to bonds and raise borrowing costs for a company carrying ~€60bn of economic net debt; renewed Middle East tension that lifted oil and gas prices and clouded margins; and lower European power prices squeezing generation earnings. Some analysts trimmed targets, with Oddo BHF cutting from €33 to €30 in September while keeping a positive rating. The decline came even though Engie had raised its 2026 guidance in July.

What is happening with Engie's Belgian nuclear plants?

+

Engie's subsidiary Electrabel operated Belgium's seven reactors. Several older units closed in 2025, and the two newest, Tihange 3 and Doel 4, were extended for ten years through a joint venture owned equally with the Belgian State, with Engie paying a fixed sum to transfer waste liabilities. In April 2026 the two sides signed a letter of intent for Belgium to acquire all of Engie's remaining nuclear activities, staff and liabilities, including dismantling obligations. A first deadline for heads of terms on October 1, 2026 was pushed to November 4. The parties say the deal should not materially improve or worsen Engie's finances, but completing it would remove a volatile, long-dated exposure. The deal is not binding until definitive agreements and regulatory approvals are signed.

How risky is Engie's debt after the UK Power Networks deal?

+

Engie financed the ~£15.8bn UK Power Networks acquisition with ~€3bn of new shares, ~€2.3bn of hybrid bonds, other debt and a planned ~€4bn of disposals by 2028. Net financial debt reached ~€54.9bn at June 30, 2026, up ~€16bn in six months, and economic net debt was ~€60.3bn, or ~4.2x EBITDA. Management targets no more than ~4.0x once UKPN contributes a full year. Its credit ratings stayed at BBB+ from S&P and Fitch and Baa1 from Moody's, all with stable outlooks, which supports access to funding. The risk is that slower asset sales, weaker earnings or higher interest rates push leverage higher for longer and leave less room for dividends or new projects.

How does ENGIY compare with other utility stocks US investors can buy?

+

ENGIY sits among several European utility ADRs, including Iberdrola (IBDRY), Enel (ENLAY) and National Grid (NGG), plus US utilities. Compared with Iberdrola and National Grid, Engie has a larger share of profit tied to commodity prices through gas generation, supply and trading, though the UK deal shifts that mix toward regulated networks. It trades at ~11x expected 2026 earnings with a ~5.8% yield, cheaper on both measures than many regulated-network peers, a gap that reflects higher debt, French state ownership and nuclear uncertainty. Its growth exposure to renewables, batteries and data center power contracts is broader than most.
