Terms of Service

1. Agreement
These Terms of Service (the “Terms”) form a binding agreement between you and Walnut (“Walnut,” “we,” “us”). By creating an account or otherwise using the service at walnutinvest.com (the “Service”), you accept these Terms. If you do not accept them, do not use the Service.
2. What Walnut is, and isn't
Walnut is an informational tool that helps you organise stocks into thematic baskets, monitor how those baskets perform against your target weights, and place buy orders at your connected broker. Walnut is not a broker-dealer, investment adviser, financial adviser, or fiduciary, and we do not provide tax, legal, or accounting advice. Nothing shown in the Service constitutes a recommendation to buy, sell, or hold any security.
Trade execution happens at your connected broker through a third-party integration (SnapTrade). Walnut does not custody your assets, does not hold your cash, and does not decide what trades to place, you do.
3. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract to use Walnut. The Service is currently offered to residents of the United States. You are responsible for complying with the laws and regulations of your jurisdiction.
4. Your account
You are responsible for keeping your sign-in credentials and any API keys you generate secure, and for all activity that happens under your account. Notify us promptly if you believe your account has been compromised. We may suspend or terminate access if we believe an account is being misused, including for abuse of any third-party service Walnut depends on.
5. Brokerage connection and trade execution
Walnut uses SnapTrade to connect to your brokerage account. By linking a broker, you grant SnapTrade permission to read your holdings and (if you choose) place orders at your direction. We do not see or store your broker credentials.
When you confirm an “Invest” or rebalance flow inside Walnut, you authorise us to forward the resulting order to your broker through SnapTrade. We do not place trades automatically. You acknowledge that:
- Order routing, fills, partial fills, slippage, and rejections are at your broker's discretion.
- Prices shown in the Service are from public market-data sources and may be delayed.
- Network failures, broker outages, or third-party issues can delay or prevent an order from reaching your broker.
- You bear the entire risk of any trade you initiate, regardless of how Walnut presented the option.
6. No investment advice
Information presented in Walnut, including basket targets, drift, performance charts, rebalance suggestions, and any output from a Claude or other AI assistant using the Walnut MCP tools, is informational only. It is not personalised advice. Do not rely on it as the sole basis for an investment decision. Consult a licensed adviser before making decisions that affect your finances.
7. Acceptable use
You agree not to:
- Reverse-engineer, scrape, or attempt to extract data belonging to other users.
- Use the Service to harass others, send spam, or violate any law.
- Bypass authentication, rate limits, or other security controls.
- Use automated systems to flood our API or our third-party integrations.
- Re-sell, sublicense, or commercially redistribute the Service without our written permission.
8. Service availability
We provide the Service on an “as-is” and “as-available” basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Scheduled and unscheduled downtime can happen, and third-party outages (Supabase, SnapTrade, your broker, public price feeds) may make parts of the Service unavailable.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all data made available through it are provided without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Walnut and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, trading losses, or loss of data, arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms is limited to one hundred US dollars (US$100).
11. Indemnification
You agree to indemnify and hold Walnut harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your trades, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Termination
You may close your account at any time by emailing us. We may suspend or terminate your access if you breach these Terms, if continued use would expose us or a third party to legal or financial risk, or if we discontinue the Service. Sections that by their nature should survive termination, disclaimers, limitations of liability, indemnification, governing law, survive.
13. Changes to the Service and these Terms
We may change the Service or these Terms over time. If a change is material, we will notify you inside the app before it takes effect. Continued use of the Service after a change means you accept the revised Terms.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property or confidentiality matters. You waive any right to participate in a class action against Walnut.
