UniCredito Spa (UNCRY) Stock Price & How to Invest
Last updated October 2026
Short answer
UNCRY is the US over-the-counter ADR for UniCredit, Italy's second-largest bank and one of Europe's most profitable lenders, with each ADR worth half an ordinary Milan share. At ~$40.88 it prices the bank at roughly 10x trailing earnings with a ~4% cash yield. The story is high returns and big payouts, now complicated by a near-50% Commerzbank position that may or may not become a takeover.

What does UniCredito Spa (UNCRY) do?
UniCredit S.p.A. is a Milan-based universal bank that serves roughly 15 million customers across Italy, Germany (through HypoVereinsbank), Austria (through Bank Austria) and a string of Central and Eastern European markets. It earns money from net interest income on loans and deposits, plus a large and growing block of fees from asset management, insurance distribution, payments and corporate banking. UNCRY is an over-the-counter American depositary receipt: one ADR represents half of one ordinary share listed in Milan under UCG, so two ADRs equal one share. The ADR trades in US dollars and tracks the euro share price plus the EUR/USD exchange rate.
The recent results have been the strongest in the bank's history. Fiscal 2025 net profit came in at ~€10.6 billion, up 14%, with return on tangible equity of ~19% and ~€9.5 billion of total distributions to shareholders. The first quarter of 2026 delivered a record ~€3.2 billion profit and a cost/income ratio of ~33%. The second quarter added ~€2.9 billion (~€3.1 billion before a ~€245 million trading hit tied to hedging the Commerzbank stake), taking first-half profit to ~€6.1 billion and RoTE to ~24%. Management then lifted 2026 guidance to significantly above €11 billion of net profit (~€11.5 billion before integration costs). Third-quarter results were pushed back to November 8 to align with Commerzbank's reporting.
The investment picture splits in two. On a standalone basis, UniCredit is a cheap, efficient, capital-generative bank: the shares trade at ~10x trailing earnings and policy targets paying out ~80% of profit. The complication is Commerzbank. After a 2026 exchange offer, UniCredit reports an overall position of ~47.6% (~49.7% of voting rights), and full consolidation would cost about 200 basis points of CET1 capital and has already suspended a €4.75 billion buyback. The ADR has slipped from a ~$50 high in late summer to ~$40.88 as investors weigh that uncertainty against a still-rising earnings line.
What's driving UniCredito Spa (UNCRY)?
1. Fees and efficiency carry earnings as rates settle
Net interest income has flattened as the European Central Bank's rate cuts work through deposit and loan pricing: first-quarter 2026 NII was ~€3.6 billion, roughly flat quarter on quarter after adjusting for fewer days. What has kept profits climbing is the other side of the income statement. Fees and insurance income rose ~8% to ~€2.5 billion in the first quarter, and operating costs fell ~1% to ~€2.3 billion, pushing the cost/income ratio to ~33%, among the lowest of any large European bank. Second-quarter revenue of ~€6.5 billion grew ~7% (~11% excluding the Commerzbank trading hit). If fees keep compounding at mid-to-high single digits while costs stay flat, the bank can grow profit without help from rates.
2. Commerzbank: control, consolidation and capital
UniCredit's 2026 exchange offer for Commerzbank closed in July with ~17.6% of shares tendered, lifting its overall position, including physically settled derivatives, to ~47.6% of capital and ~49.7% of voting rights. Transfer of the tendered shares still needs regulatory sign-off, and Commerzbank's management and the German government remain opposed. Management has said full consolidation would initially cost ~200 basis points of CET1, that integration would take two to three years, and that the 2028 and 2030 profit targets exclude Commerzbank entirely. Reports of a ~7,000-job integration plan show the scale of cost savings on the table. The outcome will decide whether UniCredit becomes a pan-European banking giant or ends up holding a large minority stake.
3. Distributions: 80% payout, with the buyback on hold
Shareholder returns are central to the UniCredit case. For fiscal 2025 the bank distributed ~€9.5 billion, including ~€4.75 billion of cash dividends and a dividend per share of ~€3.153 (up ~31%), which works out to roughly €1.58 per ADR before Italian withholding tax. The 2026 policy moves ordinary distributions to ~80% of net profit, with excess capital reviewed yearly. The €4.75 billion 2025 buyback is suspended rather than cancelled: management says it would be permanently cancelled only if UniCredit consolidates Commerzbank and reinstated otherwise. An interim dividend is scheduled for late November. How much cash ultimately reaches shareholders in 2026 and 2027 therefore depends directly on the Commerzbank decision.
4. Long-range targets: above €13 billion by 2028
Under its 'UniCredit Unlimited' plan, management targets net profit significantly above €13 billion in 2028 and significantly above €15 billion in 2030, both excluding a full Commerzbank consolidation, while guiding to RoTE above 20%. Against ~€11.5 billion expected for 2026 (before integration costs), that implies mid-to-high single-digit annual profit growth, supported by fee growth, cost discipline, lower share count from past buybacks and a growing contribution from stakes such as Greece's Alpha Bank, which more than doubled dividend income to ~€980 million in 2025. CET1 is guided to ~15% at end-2026, leaving a buffer above regulatory requirements before any acquisition. Investors are effectively paying ~10x current earnings for that growth path.
What are the risks to UniCredito Spa (UNCRY)?
The largest single risk is Commerzbank. A full consolidation would absorb ~200 basis points of CET1, has already frozen a €4.75 billion buyback, and would bring a multi-year integration in Germany against open hostility from Commerzbank's board, unions and the German government. Regulators still need to approve the transfer of tendered shares, and a contested process could drag on into 2027. Hedging costs on the stake have already shaved ~€260 million off first-half trading income. Beyond M&A, UniCredit is heavily exposed to Italian sovereign debt and the Italian economy, so a widening of BTP spreads hits both capital and funding costs. Further ECB rate cuts would pressure net interest income, still the largest revenue line. The bank has been shrinking its Russian business but retains residual exposure, including court-ordered asset seizures there. Italian government interference, as seen with the 'golden power' conditions on the abandoned Banco BPM bid in 2025, can constrain deals. For ADR holders, euro weakness reduces dollar returns, Italian dividend withholding tax applies, and OTC trading in UNCRY is thinner than the Milan line, which can widen spreads.
Is UNCRY a buy or a sell?
We give no verdict on UniCredito Spa. Both cases are real, which is why the question is contested at all, so here is the strongest version of each.
The case for buying. Fees and efficiency carry earnings as rates settle. Net interest income has flattened as the European Central Bank's rate cuts work through deposit and loan pricing: first-quarter 2026 NII was ~€3.6 billion, roughly flat quarter on quarter after adjusting for fewer days.
The case against. The largest single risk is Commerzbank.

How is UniCredito Spa (UNCRY) valued? (approximate, October 2026)
A simple financial snapshot. These are approximations and refresh quarterly; for current figures see UniCredito Spa's investor relations page or your broker.
- Revenue (TTM): ~€25 billion (~$28 billion)
- Net profit (TTM): ~€10.8 billion (~$12 billion)
- Market cap: ~$127 billion (~€114 billion)
- P/E (TTM): ~10.5x (~10x 2026 guidance)
- Dividend yield (cash): ~4.3% on FY25 DPS of ~€3.15 per share
- CET1 ratio: ~14.3% (June 2026)
At ~$40.88 per ADR (each ADR is half a share, so ~€73.4 per Milan share at ~1.118 USD per euro), UniCredit trades at roughly 10.5x trailing profit and about 10x management's ~€11.5 billion 2026 guidance, despite a RoTE above 20%. That discount to US banks reflects European sovereign risk, the Commerzbank uncertainty and the suspended buyback. The ADR's 52-week range is ~$33.63 to ~$50.28. Third-quarter results on November 8 are the next marker for the guidance and the Commerzbank timeline.
Who competes with UniCredito Spa (UNCRY)?
Italian banking rivals
Intesa Sanpaolo (ISNPY) is UniCredit's closest peer and Italy's largest bank, with a heavier wealth-management mix and a similar high-payout model. Banco BPM, BPER and Monte dei Paschi compete for Italian retail and corporate clients, and the 2025 consolidation wave among them reshaped the domestic market UniCredit had hoped to buy into.
Pan-European universal banks
Santander (SAN), BBVA (BBVA), BNP Paribas, ING and Deutsche Bank (DB) are the benchmarks investors use for valuation and returns. Several are also pursuing cross-border or domestic deals, and UniCredit's ~33% cost/income ratio and 20%-plus RoTE sit at the top of this group, which is why its multiple is compared directly against theirs.
German and Central European lenders
Commerzbank is both a competitor to HypoVereinsbank in German Mittelstand lending and the takeover target. In Austria and Central and Eastern Europe, UniCredit's subsidiaries compete with Erste Group, Raiffeisen Bank International and OTP, all of which earn high margins in fast-growing economies such as Czechia, Hungary, Croatia and Romania.

FAQ
What is UNCRY and how does the ADR ratio work?
+
UNCRY is an American depositary receipt for UniCredit S.p.A., the Italian bank whose ordinary shares trade on Borsa Italiana in Milan under the ticker UCG. The ADR trades over the counter in the US in dollars. Each UNCRY ADR represents one-half of an ordinary share, so two ADRs equal one Milan share. In late October 2026 the Milan shares traded at ~€73.4 and the ADR at ~$40.88, which lines up once you halve the euro price and convert at ~1.118 dollars per euro. Because of that, the ADR's dollar return combines UniCredit's share performance with movements in the euro. Dividends are declared in euros, converted to dollars by the depositary, and are subject to Italian withholding tax and depositary fees before they reach a US account.
How does UniCredit make money?
+
UniCredit is a commercial and universal bank. Its biggest revenue line is net interest income, the spread between what it earns on loans and bonds and what it pays on deposits, at ~€3.6 billion in the first quarter of 2026. The second pillar is fees and insurance income, ~€2.5 billion that quarter, from asset management and insurance products sold to clients, payments and cards, lending fees and investment banking for corporates. It also books trading income and dividends from stakes in other financial companies, notably Greece's Alpha Bank. Geographically, revenue comes from Italy, Germany (HypoVereinsbank), Austria (Bank Austria) and Central and Eastern Europe, where it runs banks in markets such as Czechia, Hungary, Croatia, Bulgaria and Romania. Costs are tightly controlled, with a cost/income ratio of ~33%.
What were UniCredit's latest reported results?
+
The latest published figures are for the second quarter and first half of 2026, released on July 23. Second-quarter net profit was ~€2.9 billion, or ~€3.1 billion excluding a ~€245 million negative trading item linked to hedging and funding the larger Commerzbank stake. Quarterly revenue was ~€6.5 billion, up ~7% from a year earlier. First-half net profit reached a record ~€6.1 billion with RoTE of ~24%, and the CET1 ratio stood at ~14.3% (~14.5% excluding the temporary Commerzbank impact). Management raised 2026 guidance to net profit significantly above €11 billion. Third-quarter results were rescheduled from October 21 to a November 8 board meeting and a November 9 presentation, which reports linked to the Commerzbank consolidation process and that bank's own November 5 release.
What is happening with UniCredit and Commerzbank?
+
UniCredit began building a Commerzbank position in September 2024, partly by buying shares the German government was selling. In 2026 it launched a public exchange offer; when the acceptance period ended in July, ~17.6% of Commerzbank's capital had been tendered, taking UniCredit's overall position, including derivatives that can be physically settled, to ~47.6% of capital and ~49.7% of voting rights. Commerzbank says most tendered shares came from parties connected to UniCredit and that the transfer still needs regulatory approval. CEO Andrea Orcel has said integration would take at least two to three years and that consolidation would cost ~200 basis points of CET1. UniCredit is the acquirer here, so UNCRY does not track any offer price; its shares instead reflect what the market thinks the deal will cost or earn.
Is UniCredit stock cheap compared with other banks?
+
On simple multiples, UniCredit screens as inexpensive. At ~$40.88 per ADR the market cap is about $127 billion, which is roughly 10.5x trailing net profit and about 10x management's 2026 guidance of ~€11.5 billion before integration costs. That compares with RoTE above 20%, one of the highest in European banking, and a cost/income ratio near 33%. The discount is explained by several factors: European banks generally trade below US peers, Italy carries sovereign-spread risk, and the Commerzbank situation creates uncertainty about capital and payouts for the next two to three years. Comparing UniCredit with Intesa Sanpaolo, Santander and BBVA on price to tangible book and RoTE together gives a fuller picture than P/E alone. Walnut is not an investment adviser and this is not a recommendation.
Why has UNCRY fallen since the summer?
+
The ADR peaked near ~$50 in late August and early September 2026 and drifted to ~$40.88 by late October, a decline of roughly 18%. Part of that is a reversal of a strong run: the Milan shares had gained about 30% over the prior year. After first-half results in July, Orcel's comment that a Commerzbank integration would take at least two to three years was read as cautious, and the confirmation that the €4.75 billion buyback remained suspended removed a source of support. The delay of third-quarter results to November and continuing friction with Commerzbank and Berlin added uncertainty. The underlying earnings line has not weakened: guidance was raised, not cut, in July. The gap between rising profit and a falling share price is the central tension for the stock right now.
What are the practical issues with holding UNCRY in a US account?
+
UNCRY trades over the counter rather than on the NYSE or Nasdaq, so daily volume is far lower than in Milan and bid/ask spreads can be wider, particularly outside European trading hours. Some brokers restrict OTC trading or charge extra commissions. Dividends pass through a depositary bank, which may deduct a small per-ADR fee, and Italy withholds tax on dividends paid to foreign holders; part of that may be reclaimable or creditable under the US-Italy tax treaty, depending on the investor's situation. Returns in dollars depend on the euro: a weaker euro reduces both the ADR price and the dollar value of each dividend. The ADR also reports in euros under IFRS, so financial statements need converting. Some investors hold the Milan shares directly through brokers with international access instead.
