Short answer

SBGSY is the US over-the-counter ADR for Schneider Electric SE, the Paris-listed maker of electrical distribution, data center power and cooling, and industrial automation equipment; five ADRs represent one ordinary share. It is a large, profitable industrial whose growth now leans heavily on data center construction, so the stock tends to trade on how long that spending cycle lasts.

What does Schneider Electric SE (SBGSY) do?

Schneider Electric SE sells the equipment and software that move and control electricity inside buildings, data centers, factories and utility grids. It reports two businesses. Energy Management (switchgear, circuit breakers, low and medium voltage distribution, uninterruptible power supplies, prefabricated data center modules, cooling and building controls) produced €17.6 billion of the Group's €21.2 billion of revenue in the first half of 2026, at a 22.4% adjusted EBITA margin. Industrial Automation (PLCs, drives, motion control, process systems and the AVEVA industrial software business) produced €3.6 billion at a 14.0% margin. By business model, products were 47% of 2025 revenue, systems 34% and software and services 19%. North America is the largest region at about 40% of second-quarter 2026 revenue, followed by Europe (24%), China and East Asia (18%) and South Asia and International (18%).

The company is old. Brothers Adolphe and Eugène Schneider founded it in 1836 in Le Creusot as a steel, rail and armaments business, and it spent the late twentieth century turning itself into an electrical specialist through deals for Telemecanique (1988), Square D in the US (1991) and Merlin Gerin (1992). It took the Schneider Electric name in 1999. American Power Conversion (APC) in 2007 gave it the UPS and data center power franchise that is now its fastest-growing line, and Invensys (2014) and AVEVA (majority control in 2018, the full buyout completed in 2023) built out the automation and industrial software side. Later deals added ETAP, RIB Software, Planon and Motivair, a liquid cooling specialist.

Headquarters is in Rueil-Malmaison, outside Paris. The ordinary shares trade on Euronext Paris under SU (ISIN FR0000121972) and sit in the CAC 40. Olivier Blum has been CEO since late 2024, Jean-Pascal Tricoire (the long-time former CEO) chairs the board, and Nathan Fast, previously head of investor relations, became CFO on April 6, 2026 after Hilary Maxson left. Ownership is widely spread across institutions, with BlackRock among the largest holders and employees owning a few percent through share plans. The company has about 160,000 employees in more than 100 countries.

SBGSY is an unsponsored ADR with Citibank as depositary. Citi's notice set the ratio at five ADRs per ordinary share in September 2011, so one ADR represents a fifth of a Paris share and its dollar price moves with both the euro share price and the EUR/USD rate. The business is in a strong upcycle: 2025 revenue crossed €40 billion for the first time, first-half 2026 revenue rose 14% organically, the year-end backlog hit a record €25.4 billion, and the 2026 target was raised in July. The open question is durability, since much of the growth depends on unusually strong data center and AI infrastructure spending.

What's driving Schneider Electric SE (SBGSY)?

1. Data center power and cooling

Data centers are the single biggest growth engine. In the second quarter of 2026 demand in the pure data center segment rose by triple digits, and systems revenue (which includes prefabricated power modules, cooling and three-phase UPS) grew 28% organically. North America, where hyperscale and large colocation customers are building fastest, grew 23% organically in the quarter. Schneider sells most of the electrical chain inside a data hall, and Motivair added liquid cooling for dense AI servers. Management expects data center and networks to sustain strong momentum in the second half of 2026, backed by the backlog. The flip side is concentration: if hyperscaler capital spending slows, this is where the slowdown would show first.

2. Grid and electrification spending

The infrastructure end-market, led by power and grid customers, grew strongly in the first half of 2026 as utilities connect renewable projects and upgrade distribution networks. Schneider is pushing SF6-free medium voltage switchgear, which avoids a potent greenhouse gas that European rules are phasing out. In software it sells ArcFM, ADMS and DERMS to utilities, and the pending $350 million purchase of about 90% of AiDASH adds satellite and AI-based monitoring of vegetation, storm and wildfire risk along power lines. Grid spending tends to be steadier and longer-dated than data center projects.

3. Industrial automation recovery

Industrial Automation was the weak spot through 2024 and early 2025, growing only 3% organically in 2025. It is now picking up: organic growth reached 11% in the second quarter of 2026, with discrete automation (machine builders, packaging, material handling) recovering in China, India and the US and process and hybrid markets returning to growth. Semiconductor fab demand was up triple digits in the quarter. The division's 14.0% margin is well below Energy Management's, so a sustained recovery would lift group profitability.

4. Software, AVEVA and the Cognite deal

Software and digital services were about 8% of revenue in 2025, and management's 2030 ambition is for software and services together to reach about 25% of revenue, up from 19%. AVEVA's annualized recurring revenue grew 11% as of June 30, 2026 as it finishes moving customers from perpetual licenses to subscriptions. On June 30, 2026 Schneider agreed to buy Cognite, an industrial data and AI software company, for $3.1 billion in cash, aiming to give AVEVA and Schneider's own platforms a shared data layer. The deal still needs regulatory approval.

5. Margins, pricing and productivity

The adjusted EBITA margin rose 120 basis points organically to 19.3% in the first half of 2026. Industrial productivity added €535 million and support function costs fell as a share of revenue, while raw materials (copper and silver) cost €330 million and net tariffs another €104 million. Management expects to be net price positive for the year and is targeting a full-year margin of about 19.4% to 19.7%. The 2025 Capital Markets Day targets 7% to 10% annual organic growth and 250 basis points of cumulative margin expansion through 2030. Restructuring costs should reach about €450 million in 2026.

6. Capital returns and balance sheet

Schneider paid a €4.20 per share dividend for 2025 in May 2026, its 16th consecutive year of a progressive (flat or rising) dividend. A €600 million buyback run by Natixis is due to finish by November 2026, and the company had bought about 1.2 million shares at roughly €262 each by late July. Net debt rose to €15.4 billion at June 30, 2026 after the dividend payment, and the Cognite purchase will add more, though S&P and Moody's reaffirmed the A-grade ratings after the deal was announced. Free cash flow was a record €4.6 billion in 2025, and management targets cash conversion of about 100% of net income through 2030.

What are the risks to Schneider Electric SE (SBGSY)?

The biggest risk is concentration in one buyer group: data center demand has driven most of the recent acceleration, and Schneider's results would feel any pause in hyperscaler or AI infrastructure capital spending quickly, because fast-growing systems revenue is project-based. Input costs are a second pressure point; in the first half of 2026 raw material inflation, mainly copper and silver, took €330 million from adjusted EBITA and tariffs a net €104 million, and management has to keep raising prices to stay net price positive. Mix works against margins too, since faster systems growth diluted gross margin by 0.7 points in the half. Geopolitics matters: the Middle East was under 5% of 2025 revenue but management flagged conflict-related disruption for the second half of 2026, with possible strain on supply chains and inflation, while China residential and US residential demand remain weak. Acquisitions carry execution risk, with the $3.1 billion Cognite deal and AiDASH pending regulatory approval and net debt already up to €15.4 billion. For SBGSY holders specifically, the ADR is unsponsored and trades over the counter, so volumes and spreads can be less favorable than in Paris; the dollar price moves with EUR/USD (the company expects a €400 million to €500 million currency hit to 2026 revenue), and dividends are paid once a year net of French withholding tax and depositary fees. Valuation could compress if growth slows toward the 7% to 10% medium-term target.

What is the Schneider Electric SE (SBGSY) forecast?

3 analysts publish price targets on SBGSY, averaging $79.80 against a $59.70 price as of October 2026, or +33.7%. The published targets run from $77.00 to $84.00, a narrow spread, and the ratings split 3 buy, 0 hold, 0 sell. A price target is what an analyst published on a date, not a prediction, and sell-side ratings skew positive across the whole market.

Is SBGSY a buy or a sell?

We give no verdict on Schneider Electric SE. Both cases are real, which is why the question is contested at all, so here is the strongest version of each.

The case for buying. Data center power and cooling. Data centers are the single biggest growth engine. The most optimistic published target, $84.00, assumes this works close to its best case.

The case against. The biggest risk is concentration in one buyer group: data center demand has driven most of the recent acceleration, and Schneider's results would feel any pause in hyperscaler or AI infrastructure capital spending quickly, because fast-growing systems revenue is project-based. The most pessimistic target, $77.00, is roughly what SBGSY is worth if this bites instead.

How is Schneider Electric SE (SBGSY) valued? (approximate, October 2026)

A simple financial snapshot. These are approximations and refresh quarterly; for current figures see Schneider Electric SE's investor relations page or your broker.

  • Revenue (FY2025): ~€40.2 billion (+8.9% organic)
  • Revenue (TTM to June 2026): ~€42.0 billion
  • Adjusted EBITA margin (H1 2026): 19.3%
  • Net income, Group share (TTM): ~€4.7 billion
  • Free cash flow (FY2025): ~€4.6 billion
  • Net debt (June 30, 2026): ~€15.4 billion

These figures are in euros, because Schneider reports under IFRS in Paris; the ADR price converts them through the exchange rate. First-half revenue grew 14% organically but 9.8% as reported, mostly because a weaker dollar and rupee cut the euro value of sales. Profitability is strong for an industrial: Energy Management earns more than 22% adjusted EBITA margins, and adjusted EPS rose 21% to €4.79 in the half. Net debt of about €15.4 billion sits against roughly €8.1 billion of trailing adjusted EBITA, a moderate load that the pending $3.1 billion Cognite deal will raise. The 2026 guidance calls for 14% to 19% organic adjusted EBITA growth, so the next reports on October 29 (third-quarter revenue) and in February will show whether that pace holds.

FAQ

What is SBGSY stock?

+

SBGSY is the ticker for Schneider Electric SE's American depositary receipts, which trade over the counter in the US. Schneider Electric is a French maker of electrical distribution gear, data center power and cooling, building controls and industrial automation equipment and software. Its primary listing is on Euronext Paris under the ticker SU, where it is a CAC 40 member.

What is the SBGSY ADR ratio?

+

Five SBGSY ADRs represent one Schneider Electric ordinary share. Citibank, the depositary, set that ratio in September 2011 when it changed it from 10 to 1. Because of the ratio, the ADR's dollar price is roughly one fifth of the Paris share price converted into dollars.

Is SBGSY a sponsored or unsponsored ADR?

+

SBGSY is an unsponsored ADR, meaning Citibank created it without a formal deposit agreement with Schneider Electric. Unsponsored ADRs trade over the counter rather than on the NYSE or Nasdaq, so daily volume is usually lower than in Paris and bid-ask spreads can be wider. Schneider does not file annual reports with the SEC.

How do I buy Schneider Electric stock in the US?

+

Most US brokerages let customers trade SBGSY like any other ticker, though some restrict OTC securities or charge extra for them. Investors with international trading access can also buy the ordinary shares directly on Euronext Paris under SU, which avoids depositary fees but involves euro currency conversion.

Does Schneider Electric pay a dividend?

+

Yes. Schneider pays one dividend a year, after the annual general meeting. The dividend for fiscal 2025 was €4.20 per ordinary share, up 8%, paid on May 13, 2026, and it was the 16th straight year of a progressive dividend. The 2026 dividend is scheduled for May 12, 2027. ADR holders receive dollars per ADR, net of French withholding tax and depositary fees.

Is French withholding tax taken from SBGSY dividends?

+

Yes. France withholds tax on dividends paid to non-residents, and the depositary passes the dividend on to ADR holders after that tax and its own fees. The US-France tax treaty allows a reduced rate for eligible US residents, and US investors can generally claim a foreign tax credit for tax withheld. The exact amount withheld depends on how the depositary processes the payment.

When does Schneider Electric report earnings?

+

Schneider reports revenue every quarter and full results twice a year. Third-quarter 2026 revenue is scheduled for October 29, 2026. Full-year 2026 results are typically released in late February; the 2025 results came out on February 26, 2026. First-half results arrive at the end of July, and the first-quarter revenue update in late April.

Who owns Schneider Electric?

+

Schneider Electric is widely held, with no controlling shareholder. Large asset managers such as BlackRock are among the biggest institutional holders, and employees own a few percent of the capital through company share plans. There were roughly 570 million ordinary shares outstanding at the end of 2024, and the company has been buying back stock through a €600 million program due to finish in November 2026.

How much of Schneider Electric's business comes from data centers?

+

Schneider does not break out data center revenue as a single number, but it is the fastest-growing end-market. Demand in the pure data center segment rose by triple digits in the second quarter of 2026, and systems revenue, which includes prefabricated modules, cooling and UPS, grew 28% organically. North America, the biggest data center market, was about 40% of group revenue in that quarter.

What is Schneider Electric's 2026 guidance?

+

In July 2026 Schneider raised its 2026 target to organic adjusted EBITA growth of 14% to 19%, from 10% to 15%. That rests on organic revenue growth of 10% to 13% and organic margin expansion of 70 to 100 basis points, implying an adjusted EBITA margin of about 19.4% to 19.7%. Currency is expected to reduce 2026 revenue by €400 million to €500 million.
