What does Trend Micro Inc. (TMICY) do?
Trend Micro Incorporated sells cybersecurity software and services to businesses, governments and consumers. Its enterprise business, which now goes to market under the TrendAI name, is built around the TrendAI Vision One platform: a single console for endpoint, server, cloud workload, email, network and identity security, with detection-and-response and AI tools layered on top. It also sells older standalone products, protection for operational technology, and automotive security through its VicOne subsidiary, and it runs the Zero Day Initiative, a long-standing bug-bounty program that buys vulnerability research. The consumer business, now branded TrendLife, sells antivirus, identity and scam-protection subscriptions such as ScamCheck. Revenue is mostly recurring: as of Q2 2026 total annual recurring revenue (ARR) was above US$1.7 billion, of which enterprise was more than US$1.3 billion and consumer US$374 million.
The company was founded in Los Angeles in 1988 by Steve Chang, his wife Jenny Chang and her sister Eva Chen, and later moved its headquarters to Tokyo. It listed in Japan in 1998 and its shares now trade on the Tokyo Stock Exchange under code 4704. Eva Chen, a co-founder, has been CEO since 2005, and Kevin Simzer is COO. The company grew its network-security business by buying TippingPoint, which came with the Zero Day Initiative, from Hewlett Packard Enterprise in 2016. In early 2025 Reuters reported that buyout firms including Bain Capital, Advent International and EQT were competing to take Trend Micro private, and the shares rose by the daily limit; no deal has been announced, and the company said it remained focused on its business transformation.
Financially, 2025 was a record year: net sales of ~¥276.0 billion (up 1%) and operating income of ~¥57.8 billion (up 20%), a ~21% margin, with net income of ~¥34.5 billion. Q4 2025 sales rose 5%. Consumer sales fell 9% for the year, which the company tied to earlier payment-processing problems, while enterprise sales grew 8% in Q4. For 2026 it guided to net sales of ¥301.5 billion, up ~9%, and operating income of ¥56.4 billion. Revenue is on track: Q2 2026 net sales reached a record ~¥74.7 billion, up 13%. Costs are the problem. Operating expenses rose 29% in Q2, operating income fell 54% to ~¥6.2 billion, and on 13 August 2026 the company cut its full-year operating income forecast to ¥44.4 billion, citing cloud expenses including AI token costs well above plan. The Tokyo shares opened limit-down the next day.
The investment picture is a classic margin squeeze during a platform transition. The growth engine, Vision One, is growing ARR at ~49% and now accounts for about 45% of enterprise ARR, with 122% net revenue retention. The legacy endpoint and consumer franchises grow slowly. Trend Micro held ~¥214.2 billion of cash at the end of June 2026, and it pays a dividend of roughly 70% of net income (¥185 per share for 2025). TMICY is a sponsored ADR with The Bank of New York as depositary, and since July 2001 one ADR has represented one ordinary share.
What's driving Trend Micro Inc. (TMICY)?
1. TrendAI Vision One adoption
Vision One ARR grew 49% year over year in Q2 2026 and made up about 45% of enterprise ARR, with the US the largest market, followed by Japan and Germany. Large-enterprise platform ARR had already risen 58% to US$467 million by Q4 2025, when the company added roughly 1,000 new platform customers for the year. Net revenue retention of 122% means existing platform customers are expanding their spend, though gross retention of 87% shows some customers are still leaving. The bet is that moving customers from standalone products to the platform lifts revenue per customer and makes Trend Micro harder to replace. Total ARR growth was only ~5% to 6%, so platform growth is still partly cannibalizing older product lines.
2. Cloud and AI cost control
This is the variable that broke 2026 guidance. Running AI-assisted detection, investigation and agent features on cloud infrastructure costs money every time a model is called, and Trend Micro said those costs came in well above its original plan. Management put cloud and AI cost at about $0.14 per dollar of SaaS ARR in H1 2026, slightly higher because of new service launches. The revised forecast implies operating income of ¥44.4 billion, down 21% from the February guide of ¥56.4 billion and 23% below 2025. Whether pricing for AI features, model choice and engineering efficiency can bring that cost ratio down is the main thing to watch in the Q3 and Q4 reports.
3. Consumer turnaround under TrendLife
Consumer sales fell 9% in 2025, which the company linked to payment-processing problems, but consumer ARR grew 4% to US$374 million by Q2 2026. The growth is coming from newer services: Digital Life Protection ARR rose 52% to US$137 million, and ScamCheck downloads more than doubled in 2025. Scam and identity protection is a growing category as AI-generated fraud spreads, and Trend Micro has a large installed base of antivirus subscribers to sell into. The older device-protection product faces free and bundled alternatives, including Microsoft's built-in Windows security.
4. New markets: automotive and partners
VicOne, the automotive cybersecurity subsidiary, and Magna AI, a partnership with a Taiwanese technology group, together grew net sales about 8x and ARR about 36x year over year in Q2 2026, from a small base. Separately, more than 190 managed service providers and managed security service providers were actively selling the platform at the end of 2025, with average ARR per partner up 4x. Selling through service providers matters for reaching smaller companies that do not run their own security teams, a segment where small-enterprise ARR grew only 2% in 2025.
5. 2028 targets and the yen
Management reaffirmed 2028 targets of 8% to 10% annual net sales growth and double-digit ARR growth with its Q2 results. Reaching double-digit ARR growth requires roughly doubling the current ~5% to 6% pace. Because ARR is reported in US dollars at constant currency while results are in yen, exchange rates move reported numbers: the company's revised 2026 forecast assumes about ¥157 per dollar. A weaker yen raises reported yen sales from overseas, but much of the cloud cost base is also priced in dollars.
6. Ownership questions
Reuters reported in February 2025 that Bain Capital, Advent International and EQT were vying to buy the company, with KKR also interested, and that Trend Micro was working with advisers. No offer has been announced, and the company's public position was that it remained focused on its transformation. The episode showed private-equity appetite for a cash-generative security franchise, and the lower share price after the August 2026 guidance cut could revive that interest, though nothing in Trend Micro's filings indicates an active process.
What are the risks to Trend Micro Inc. (TMICY)?
Profitability is the immediate risk. Q2 2026 operating income fell 54% to ~¥6.2 billion on sales up 13%, operating expenses rose 29%, and full-year operating income guidance was cut from ¥56.4 billion to ¥44.4 billion on 13 August 2026 because cloud and AI token costs ran well above plan. If those costs keep rising faster than ARR, margins can stay far below the ~21% earned in 2025, and the dividend, set at roughly 70% of net income, would shrink with earnings. Operating cash flow already fell 63% year over year in the period, according to the Q2 earnings summary. Growth is a second risk: total ARR is rising only ~5% to 6%, enterprise ARR ~6% and consumer ~4%, which is slow next to platform rivals such as CrowdStrike and Palo Alto Networks, and gross revenue retention of 87% means roughly an eighth of ARR churns each year. Microsoft bundles endpoint security into its enterprise licenses, and free or built-in antivirus pressures the consumer line. Execution risk is real in a company shifting from many standalone products to one platform, and 2025 consumer sales showed how an operational problem (payment processing) can cut revenue. Currency moves the reported yen figures in both directions. Cybersecurity vendors also face reputational risk from vulnerabilities in their own products. For TMICY specifically, the ADR trades over the counter in low volume, so spreads can be wide, BNY may charge depositary fees, and Japanese withholding tax applies to dividends. Takeover speculation from 2025 is a two-way risk: a bid could lift the price, and the absence of one has left the shares to trade on fundamentals, which fell sharply after the guidance cut.
Is TMICY a buy or a sell?
We give no verdict on Trend Micro Inc.. Both cases are real, which is why the question is contested at all, so here is the strongest version of each.
The case for buying. TrendAI Vision One adoption. Vision One ARR grew 49% year over year in Q2 2026 and made up about 45% of enterprise ARR, with the US the largest market, followed by Japan and Germany.
The case against. Profitability is the immediate risk.

Who competes with Trend Micro Inc. (TMICY)?
Enterprise security platforms
CrowdStrike, Palo Alto Networks, SentinelOne and Microsoft Defender compete directly with Vision One for endpoint, cloud and detection-and-response budgets. CrowdStrike and Palo Alto are growing faster and lead on platform consolidation; Microsoft's advantage is bundling with its enterprise licenses.
Network and firewall vendors
Fortinet, Check Point and Cisco compete with Trend Micro's TippingPoint-derived network security and with its push into broader platform deals that combine network and endpoint protection.
Traditional endpoint and mid-market vendors
Sophos, Trellix, ESET and Broadcom's Symantec enterprise business fight for the same mid-sized companies and managed service providers, often on price and channel relationships rather than platform breadth.
Consumer security
Gen Digital (Norton, Avast, LifeLock), McAfee and Microsoft's built-in Windows protection compete with TrendLife's antivirus, identity and scam-protection subscriptions.

FAQ
What is TMICY?
+
TMICY is the US ticker for American depositary receipts of Trend Micro Incorporated, a Japanese cybersecurity company. The ADRs trade over the counter in dollars, while the ordinary shares trade on the Tokyo Stock Exchange under code 4704. Trend Micro sells enterprise security through its TrendAI Vision One platform and consumer protection under TrendLife.
How do I buy Trend Micro stock in the US?
+
US investors can buy TMICY through brokers that support over-the-counter securities. The ordinary shares are also quoted OTC as TMICF, and some brokers with international access can trade the Tokyo line (4704) directly, usually in board lots of 100 shares. OTC volume is thin, so spreads can be wider than on an exchange.
Does Trend Micro pay a dividend?
+
Yes. Trend Micro paid ¥185 per share for fiscal 2025, about 70% of net income according to the full-year earnings summary. Because the dividend tracks earnings, a lower 2026 profit forecast would point to a smaller payout. TMICY holders receive dollars after Japanese withholding tax and depositary fees.
How are Trend Micro dividends taxed for US holders?
+
Japan withholds tax on dividends paid to non-residents, generally at 15.315% for listed-company shares, and the US-Japan tax treaty sets a 10% rate for portfolio investors, which may require paperwork through the depositary. The Japanese tax withheld may be creditable against US tax. A tax adviser can confirm the treatment.
Why did Trend Micro stock fall in August 2026?
