What does OMV AG (OMVKY) do?

OMV Aktiengesellschaft is an Austrian energy and chemicals group headquartered in Vienna. It reports three segments. Energy produces oil and gas (291 thousand barrels of oil equivalent per day in Q2 2026) from Romania, Austria, Norway, Libya, the United Arab Emirates, New Zealand and Tunisia,. Fuels runs three European refineries (Schwechat near Vienna, Burghausen in Germany and Petrobrazi in Romania), a retail station network and stakes in ADNOC Refining and ADNOC Global Trading. Chemicals combines OMV's own refinery-integrated steam crackers with its 50% share of Borouge International, the polyolefins group formed with ADNOC's investment arm XRG on March 30, 2026. Sales revenue from continuing operations was ~EUR 24.3 billion in 2025, and the clean CCS Operating Result (OMV's main profit measure, excluding special items and inventory effects) was ~EUR 4.6 billion, of which Energy contributed ~EUR 2.7 billion.

OMV grew from an Austrian state oil company into a regional group mainly through two holdings: a controlling stake in Romania's OMV Petrom (51.2%, separately listed in Bucharest) and a majority stake in plastics maker Borealis. That Borealis stake, plus Borouge, was folded into Borouge International in 2026, which also bought North American polyolefin producer NOVA Chemicals at an enterprise value of ~USD 13.4 billion. With Borealis deconsolidated, OMV's head count fell from ~22,900 to ~15,900 in a year.

Ownership is anchored by two strategic holders. At the end of 2025, the Austrian state's holding company ÖBAG owned 31.5%, ADNOC owned 24.9% (being transferred to XRG, subject to approvals) and the free float was ~43.4%, according to OMV's 2025 annual report. Leadership changed on September 1, 2026: Emma Delaney, formerly BP's executive vice president for customers and products, succeeded Alfred Stern as CEO for a three-year term. In the US, the sponsored Level I ADR (JPMorgan Chase Bank as depositary) trades on OTCQX as OMVKY, and the ordinary shares trade over the counter as OMVJF.

The investment picture for late 2026 is a strong year built on unusual conditions. The effective closure of the Strait of Hormuz pushed Brent to an average of ~USD 104 a barrel in Q2 2026, doubled OMV's European refining indicator margin to ~USD 20.3 a barrel and lifted chemical margins. Q2 clean CCS Operating Result rose 65% to ~EUR 1.71 billion. OMV itself notes Brent had given back almost all of those gains by the end of June. The 2025 dividend of EUR 4.40 per share (EUR 3.15 regular plus EUR 1.25 additional) was ~9.3% of the 2025 closing price, and from fiscal 2026 the payout formula changes to include half of OMV's share of Borouge International dividends.

What's driving OMV AG (OMVKY)?

1. Oil and gas prices after the Hormuz shock

Energy is still OMV's largest profit engine, contributing ~EUR 885 million of clean Operating Result in Q2 2026, up 50% on a year earlier, almost entirely because of price. The 2026 outlook assumes Brent averages USD 85 to 95 and a realized gas price around EUR 40 per MWh, which leans on the high first half because Brent closed June in the low 70s. Production guidance of 280 to 290 kboe/d (2025: 305 kboe/d) depends on when shipping restrictions through Hormuz lift, since OMV's UAE output could not be lifted normally. For comparison, the segment's full-year 2025 clean Operating Result was ~EUR 2.7 billion.

2. Refining margins and European fuels policy

The Fuels segment earned a clean CCS Operating Result of ~EUR 446 million in Q2 2026, against ~EUR 242 million a year earlier, as middle-distillate cracks widened and European refinery utilization reached 90%. The same tight market brought political pushback: temporary price regulations in Romania and Austria squeezed retail margins, and OMV now expects both commercial and retail margins to come in below 2025. Fuels capital spending of ~EUR 1.1 billion in 2026 goes largely to a SAF and HVO plant at Petrobrazi and Austrian green hydrogen electrolyzers. How quickly the refining margin normalizes once Gulf product flows return is the biggest swing factor for this segment in 2027.

3. Borouge International as a dividend stream

Since March 30, 2026, OMV's polyolefins exposure comes through a 50% stake in Borouge International, which combines Borealis, Borouge and NOVA Chemicals and which OMV describes as the fourth-largest polyolefin group globally. It is equity-accounted, contributing ~EUR 349 million of clean net income in its first full quarter. OMV said at its October 2025 capital markets update that it expects a minimum floor dividend of USD 1 billion a year from the venture starting in 2026. Because NOVA was bought with acquisition debt, the venture's leverage and the petrochemical cycle will shape what reaches OMV.

4. Neptun Deep and the gas portfolio

Neptun Deep is the offshore Black Sea gas project being developed by OMV Petrom with Romgaz, and OMV said in October 2025 that it was on schedule and within budget for first gas in 2027. Management expects it to roughly double Romania's annual gas production, adding EU-based gas supply. In Austria, the Wittau gas fields started producing in Q2 2026. Proved reserves fell to ~880 million boe at the end of 2025, mainly after the sale of the UAE Ghasha concession.

5. The 2030 plan and the new dividend formula

At its October 2025 capital markets update OMV set 2030 targets of a clean CCS Operating Result above EUR 6.5 billion, clean CCS EPS above EUR 9 and operating cash flow above EUR 6 billion. Organic investment is planned at ~EUR 2.8 billion a year on average for 2026 to 2030, about EUR 5 billion less in total than before, mostly because Borealis capital spending left the consolidated group. An efficiency program targets more than EUR 500 million of operating cash flow benefit by 2027. From fiscal 2026 (paid in 2027), shareholders are to receive 50% of OMV's Borouge International dividends plus 20% to 30% of operating cash flow excluding those dividends, with the regular dividend progressive and extra payouts available while leverage stays below 30%.

6. A new CEO and the shareholder pact

Emma Delaney took over as CEO on September 1, 2026, arriving from BP's downstream business. Her first full set of results will be the Q3 2026 report on October 29, 2026, preceded by a trading update on October 9. ÖBAG and ADNOC (or XRG, once the transfer is approved) together hold ~56% and act under a consortium agreement, and ADNOC is also OMV's equal partner in Borouge International. The open question is how she weighs the Romanian gas build-out, low-carbon fuels and capital returns.

What are the risks to OMV AG (OMVKY)?

The clearest risk is that 2026 earnings are inflated by a supply shock: OMV's Q2 2026 profit jump came from Brent averaging ~USD 104 and a refining indicator margin of ~USD 20.3 a barrel, yet the company's own report says Brent had returned to the low 70s by the end of June after the US-Iran memorandum, and renewed escalation in July shows the situation can swing either way. Hydrocarbon sales volumes still fell 12% in Q2 as Middle East liftings stalled. Governments are a second risk. Romania and Austria imposed temporary fuel price measures in 2026, Romania levies an E&P solidarity tax and higher gas royalties, and OMV's Q2 clean CCS group tax rate was still 34% (48% on reported continuing profit). Leverage rose from 12% to 19% in a year, with net debt at ~EUR 5.0 billion after the ~EUR 1.5 billion Borouge International injection, and H1 2026 free cash flow after dividends was about minus EUR 3.3 billion. Chemicals remain cyclical, and OMV now depends on dividends from a jointly controlled company carrying NOVA acquisition debt. Reserves fell to ~880 million boe after the Ghasha sale, so Neptun Deep's 2027 start matters. For US holders of OMVKY there are added layers: a Level I ADR on the OTC market with thinner trading and less US disclosure than an exchange listing, euro-to-dollar currency risk on both the price and the dividend, ADR depositary fees, and Austrian withholding tax on dividends, which US investors may need to reclaim partly under the tax treaty.

Is OMVKY a buy or a sell?

We give no verdict on OMV AG. Both cases are real, which is why the question is contested at all, so here is the strongest version of each.

The case for buying. Oil and gas prices after the Hormuz shock. Energy is still OMV's largest profit engine, contributing ~EUR 885 million of clean Operating Result in Q2 2026, up 50% on a year earlier, almost entirely because of price.

The case against.

How is OMV AG (OMVKY) valued? (approximate, October 2026)

A simple financial snapshot. These are approximations and refresh quarterly; for current figures see OMV AG's investor relations page or your broker.

  • Sales revenue, continuing ops (TTM to June 2026): ~EUR 26.2 billion
  • Clean CCS Operating Result (TTM): ~EUR 5.1 billion
  • Clean CCS EPS (TTM): ~EUR 7.34 per share (~EUR 1.84 per ADR)
  • Net debt (June 30, 2026): ~EUR 5.0 billion, 19% leverage ratio
  • Dividend for 2025 (paid June 2026): EUR 4.40 per share (~EUR 1.10 per ADR)
  • Hydrocarbon production (Q2 2026): 291 kboe/d

The trailing figures combine full-year 2025 with the first half of 2026 and swap out the first half of 2025, using OMV's reported numbers. They capture one strong quarter driven by the Hormuz disruption, so they overstate a typical year: 2025 clean CCS EPS was EUR 5.94 and the 2030 target is above EUR 9. The dividend looks generous next to either, but the 2025 payout was 141% of reported EPS, funded by cash flow rather than book profit. Revenue also moved for an accounting reason, since sales to Borealis are no longer eliminated after deconsolidation. Per-ADR figures divide the per-share amount by four and are before currency conversion, depositary fees and Austrian withholding tax.

Who competes with OMV AG (OMVKY)?

European integrated oil and gas groups

Eni, Repsol, Galp, Equinor and the larger majors TotalEnergies, Shell and BP run similar mixes of upstream production, refining and marketing. OMV is smaller than the majors and more tied to Central and Eastern Europe, with heavier state ownership than all of them except Equinor.

Central and Eastern European refiners and retailers

MOL Group in Hungary and Orlen in Poland compete with OMV's refineries and stations across the Danube region, and Rompetrol (owned by KazMunayGas) and Lukoil-linked assets compete in Romania. These are the rivals most directly affected by the same regional fuel price caps.

Polyolefins and petrochemicals

Through Borouge International, OMV competes with LyondellBasell, SABIC, Dow, INEOS, ExxonMobil Chemical and Chinese state producers in polyethylene and polypropylene. OMV's own Schwechat and Burghausen crackers face European rivals such as BASF and TotalEnergies' chemicals arm.

Gas producers and suppliers in Southeast Europe

In Romanian gas, OMV Petrom's main peer is Romgaz, which is also its 50% partner in Neptun Deep. In wider European gas supply, Equinor and LNG importers compete for the volumes OMV markets in Austria and Germany.

FAQ

What is OMVKY?

+

OMVKY is the ticker for American depositary receipts of OMV Aktiengesellschaft, the Austrian oil, gas, fuels and chemicals group. The ADRs are part of a sponsored Level I program with JPMorgan Chase Bank as depositary and are quoted on the OTCQX market. Four OMVKY ADRs represent one OMV ordinary share, which is listed on the Vienna Stock Exchange under the symbol OMV.

How do I buy OMV stock in the US?

+

Most US brokerages that allow over-the-counter trading quote OMVKY, the ADR, in US dollars. The ordinary shares also trade over the counter as OMVJF, and some brokers offer direct access to the Vienna Stock Exchange, where OMV trades in euros. OTC quotes can have wider spreads than the Vienna line.

Does OMV pay a dividend?

+

Yes. For 2025 OMV paid EUR 4.40 per share in June 2026: a regular EUR 3.15 and an additional EUR 1.25. That works out to about EUR 1.10 per OMVKY ADR before fees and tax. OMV's policy is a progressive regular dividend plus variable extra payouts while leverage stays below 30%. From fiscal 2026 the payout will also include half of OMV's Borouge International dividends.

How are OMVKY dividends taxed for US investors?

+

OMV pays its dividend in euros, and the depositary converts it to dollars, less an ADR fee. Austria withholds tax at source, generally at 27.5%, while the US-Austria tax treaty provides a lower 15% rate for eligible US residents, so part of the withholding may be reclaimable from the Austrian authorities. Individual circumstances differ.

When does OMV report earnings?

+

OMV's financial calendar lists results for January to September 2026 on Thursday, October 29, 2026, published at 7:00 am CET with an analyst presentation at 11:30 am CET. A Q3 trading update with production and margin indicators came out on October 9, 2026, ahead of a two-week quiet period.

Who owns OMV?

+

At the end of 2025, Österreichische Beteiligungs AG (ÖBAG), the Austrian state's holding company, owned 31.5%, and ADNOC owned 24.9%. ADNOC plans to move that stake to XRG, its international investment arm, subject to approvals. About 43% is free float, and a consortium agreement between ÖBAG and ADNOC coordinates their voting and restricts share transfers.

Who is the CEO of OMV?

+

Emma Delaney became chairwoman of the executive board and CEO on September 1, 2026, appointed for three years with an option for two more. She previously ran BP's customers and products business. She succeeded Alfred Stern, CEO since September 2021. Reinhard Florey is CFO and deputy chairman.

What is Borouge International and how does it affect OMV?

+

Borouge International is a polyolefins company owned 50/50 by OMV and ADNOC's XRG. It combined Borealis and Borouge and bought NOVA Chemicals, closing on March 30, 2026. OMV now books its share of the venture's net income (~EUR 349 million clean in Q2 2026) instead of consolidating Borealis.

Why did OMV's profit jump in 2026?

+

The effective closure of the Strait of Hormuz pushed oil, gas, fuel and chemical prices up. In Q2 2026, Brent averaged ~USD 104 a barrel and OMV's European refining indicator margin more than doubled to ~USD 20.3. The clean CCS Operating Result rose 65% to ~EUR 1.71 billion. OMV notes Brent had fallen back to the low 70s by the end of June.

What is the difference between OMV and OMV Petrom?

+

OMV Petrom is a Romanian subsidiary, listed in Bucharest, in which OMV owns 51.2%. It holds OMV's Romanian oil and gas production, the Petrobrazi refinery, a retail network and the Neptun Deep stake. Because OMV consolidates Petrom fully, profit attributable to OMV's own shareholders is below total net income.
